Terms of Service

1. Eligibility and Accounts

You must be at least 18 years old (or the age of legal majority in your jurisdiction) and have the legal capacity to enter into a binding agreement. If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" includes that entity.

You are responsible for maintaining the confidentiality of your account credentials, API keys, and any access tokens. You must notify us promptly at support@argonpay.app if you suspect unauthorized access. You are responsible for all activity that occurs under your account, including API calls and payments created through your integration.

You agree to provide accurate, current, and complete information when registering and to keep that information updated. We may refuse, suspend, or terminate accounts that provide false information or that we reasonably believe pose legal, compliance, or security risk.

2. Description of the Service

Subject to these Terms, Argon provides tools that may include:

• On-chain payment acceptance via API, payment links, QR codes, and hosted checkout flows
• Generation of a unique wallet address for each payment or recipient for tracking and settlement
• Real-time monitoring of blockchain activity related to payments you create
• Donation campaigns with target amounts and progress tracking
• Bulk payment / payout batches for multiple recipient wallets (for example payroll or vendor disbursements)
• Dashboards, status webhooks or polling, and related developer documentation

Supported assets and networks may include, without limitation, stablecoins and cryptocurrencies such as USDC (for example on Polygon), USDT (for example on BEP20), SOL (Solana), and other assets or networks we enable from time to time. Availability of any asset or network may change without prior notice.

Argon is infrastructure for initiating, monitoring, and coordinating on-chain transfers. Unless we expressly state otherwise in writing, Argon is not a bank, money transmitter, exchange, custodian of your business funds in the traditional banking sense, investment adviser, or broker. Blockchain confirmations, network congestion, smart-contract behavior, and third-party wallet software are outside our exclusive control.

3. Decentralized Model, Custodian Role, and Keys

Argon is designed around on-chain settlement. Payments are created and verified against blockchain activity. In connection with the Service:

• Each payment may be assigned a dedicated wallet address so transfers can be matched and tracked without mixing unrelated payments.
• A custodian component of the Service monitors payment status on-chain and may cover applicable network (gas) fees so payers can send the stated amount without unexpected fee deductions at checkout, where that feature is enabled for your plan.
• For testing, verification, and operational observation, custodian-controlled keys or related access may be used in accordance with our product design. You acknowledge that blockchain transactions are public and that wallet addresses and transaction hashes are visible on public ledgers.

You remain solely responsible for configuring your integration correctly, verifying settlement against your own records, and deciding when to release goods, services, or credits to end users. On-chain confirmation does not guarantee that a payer is authorized, that funds are free of legal claims, or that a payment will not later be disputed under applicable law.

4. Merchant, Developer, and Payer Responsibilities

4.1 Merchants and developers

• You are responsible for your products, services, pricing, refunds, chargeback or dispute policies (to the extent applicable), tax collection, and customer support toward your end users.
• You must not use Argon for illegal activity, including fraud, sanctions evasion, money laundering, terrorist financing, or sale of prohibited goods or services.
• You must implement reasonable security for your systems, API keys, webhooks, and any private keys or seed phrases you choose to store or display.
• You are responsible for verifying wallet addresses, amounts, networks, and asset types before creating payments or bulk payouts. Transfers sent to the wrong address, network, or asset are typically irreversible.
• You must comply with all laws applicable to your business, including consumer-protection, tax, export, and anti-money-laundering (AML) / know-your-customer (KYC) requirements where they apply to you.

4.2 Payers and end users

If you are paying a merchant through an Argon checkout or payment link, you agree to send the correct asset on the correct network to the displayed address within any stated validity window. You are responsible for your own wallet software, seed phrases, and transaction fees charged by your wallet or network when those fees are not covered by the Service.

5. Payments, Settlement, and Finality

• Payment status shown in Argon (for example pending, paid, or failed) is based on on-chain observation and our monitoring logic. Status may lag or change as the network reorganizes or as additional confirmations arrive.
• Once a transfer is confirmed on the relevant blockchain, it is generally irreversible. Argon cannot reverse, cancel, or recall confirmed on-chain transfers.
• Underpayment, overpayment, wrong-asset, or wrong-network transfers may not credit correctly. Recovery, if possible at all, may require manual review and is not guaranteed.
• Bulk payouts and donation flows depend on accurate recipient lists, campaign settings, and network conditions. You are responsible for validating batch data before submission.

6. Fees and Pricing

Argon uses transparent per-transaction (or plan-based) pricing rather than taking a commission on payment volume, except where a specific product or promotion states otherwise. Current packaging may include plans such as a fixed fee for a defined number of transactions (for example, plans starting at published rates such as $50 for 500 transactions). Exact pricing, included transaction counts, overage rates, and feature entitlements are those shown at signup, in your account, or in a separate order form.

Where enabled, network fees associated with certain Service operations may be covered by the custodian wallet so that your customers are not charged those network costs at checkout. Coverage of network fees does not mean Argon absorbs all costs of your business, refunds, or failed integrations.

Fees are non-refundable except where required by law or expressly agreed in writing. We may change pricing prospectively with notice via the Service, email, or our website. Continued use after the effective date of a price change constitutes acceptance of the new pricing for subsequent usage.

7. API, Integrations, and Acceptable Use

You agree not to:

• Abuse, overload, or interfere with the Service, APIs, or monitoring systems
• Attempt unauthorized access to other accounts, wallets, or data
• Circumvent rate limits, security controls, or usage metering
• Use the Service to distribute malware, phishing pages, or deceptive checkout experiences
• Misrepresent affiliation with Argon or imply that Argon endorses your products
• Scrape, reverse engineer, or copy the Service except as allowed by applicable law or written permission

We may throttle, suspend, or terminate API access that threatens the stability, security, or lawful operation of the Service.

8. Compliance, Sanctions, and Prohibited Use

You represent that you are not located in, organized under the laws of, or ordinarily resident in a comprehensively sanctioned jurisdiction, and that you are not a sanctioned person or entity under applicable sanctions lists. You will not use the Service to transact with sanctioned parties or for prohibited purposes.

We may request information reasonably needed for fraud prevention, security, or legal compliance and may suspend Service pending review. Failure to cooperate may result in termination.

9. Intellectual Property

Argon, including its software, APIs, documentation, branding, and website content, is owned by us or our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service solely as permitted by these Terms.

You retain ownership of your content and data that you submit to the Service. You grant us a license to host, process, transmit, and display that content as needed to operate and improve the Service and to comply with law.

10. Third-Party Services and Public Blockchains

The Service depends on public blockchains, wallet providers, RPC nodes, analytics tools, cloud infrastructure, and other third parties. We do not control those networks or providers and are not responsible for their outages, forks, consensus failures, fee spikes, or protocol changes. Links to third-party sites or docs are for convenience only.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT PAYMENT STATUS DISPLAYS WILL ALWAYS BE COMPLETE OR INSTANTANEOUS.

Cryptocurrency and blockchain technology involve substantial risk, including volatility, irreversible transfers, and regulatory uncertainty. You use the Service at your own risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARGON AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WITHOUT LIMITING THE FOREGOING, WE ARE NOT LIABLE FOR LOSSES ARISING FROM: (A) INCORRECT WALLET ADDRESSES, NETWORKS, OR ASSET SELECTIONS; (B) USER OR MERCHANT ERROR; (C) BLOCKCHAIN OR THIRD-PARTY FAILURES; (D) UNAUTHORIZED ACCESS RESULTING FROM COMPROMISED CREDENTIALS OR KEYS UNDER YOUR CONTROL; OR (E) DELAYS IN ON-CHAIN CONFIRMATION OR STATUS UPDATES.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (I) THE FEES YOU PAID TO ARGON FOR THE SERVICE IN THAT PERIOD OR (II) ONE HUNDRED U.S. DOLLARS (US$100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED UNDER APPLICABLE LAW.

13. Indemnification

You will defend, indemnify, and hold harmless Argon and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your products, services, or relationships with payers and recipients; (c) your violation of these Terms or applicable law; or (d) your infringement of third-party rights.

14. Suspension and Termination

You may stop using the Service at any time. We may suspend or terminate access immediately if you breach these Terms, if required by law, or if continued use creates risk to Argon, other users, or the public. Upon termination, your license to use the Service ends. Provisions that by their nature should survive (including ownership, disclaimers, limitations of liability, and indemnity) will survive termination.

15. Changes to the Service or Terms

We may modify the Service or these Terms from time to time. Material changes to the Terms will be indicated by updating the "Last updated" date on this page and, where appropriate, by additional notice. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.

16. Governing Law and Disputes

These Terms are governed by the laws applicable to Argon's principal place of business, without regard to conflict-of-law principles, except where mandatory consumer protections in your country require otherwise. Courts in that jurisdiction will have exclusive jurisdiction over disputes, subject to any non-waivable rights you may have under local law. You and Argon agree to attempt in good faith to resolve disputes informally by contacting support@argonpay.app before filing a formal claim, where practical.

17. General

These Terms constitute the entire agreement between you and Argon regarding the Service and supersede prior agreements on the same subject. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
